Look past the base salary
Two offers with the same base can be far apart. A signing bonus only helps in year one; back-loaded equity pays little until years three and four; a bonus is only a target. Comparing year by year shows when the money actually arrives.
Questions to ask before you decide
- Is the bonus target or guaranteed, and what did people actually get last year?
- Does the signing bonus have to be paid back if you leave early?
- Are there refresh grants after the first one?
How is first-year pay calculated?
Base salary, plus the target bonus, plus the signing bonus, plus the equity that vests in year one under the schedule you pick.
What vesting schedules are included?
Even vesting (25% a year), back-loaded 5/15/40/40 (used by some large tech companies), and 10/20/30/40. Pick the one in your offer letter.
Does it include tax?
No. It compares gross offers so you can see the shape of the money. Tax depends on your country and situation.
Is the equity value certain?
No. Startup equity in particular can be worth much more or nothing. Treat it as an estimate and look at the cash numbers on their own as well.
